Terms of Service

Overview
PactSift AI LLC, a Pennsylvania limited liability company (“PactSift AI,” “we,” “us”) provides an automated, AI-powered contract triage tool that surfaces plain-English summaries, key terms, and potentially risky clauses in documents you upload (“the Service”). By creating an account, purchasing a Pilot review, subscribing to a paid plan, or otherwise using the Service, you agree to these Terms of Service (“Terms”). If you use the Service on behalf of a business, you agree to these Terms for that business, you represent that you have authority to do so, and “you” includes that business.
THESE TERMS INCLUDE A BINDING INDIVIDUAL ARBITRATION AGREEMENT AND CLASS ACTION WAIVER (SECTION 13) AND A LIMITATION OF OUR LIABILITY (SECTION 10). PLEASE READ THEM.
Not Legal Advice
The Service is an operational efficiency and triage tool that uses artificial intelligence to flag, quote, and explain clause types in documents you submit. It provides general information only and does not constitute legal advice, and using it does not create an attorney-client relationship of any kind. PactSift AI is not a law firm, is not licensed to practice law, and does not have lawyers review your documents. The Service can misread a document, miss a clause, or describe a clause incorrectly, and its output may be incomplete or wrong. Check the output against the document itself. With respect to any contract you submit, you are solely responsible for your own decisions about that contract, including whether to sign it. The Service is not a substitute for review by a licensed attorney, and you should have one review any contract before you sign or rely on it. This section supplements, and does not replace, the acknowledgment you explicitly accept before accessing your dashboard. You agree that you will not present the Service’s output to anyone else as legal advice or as the work of a lawyer.
Accounts
You must provide accurate information when creating an account and are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must be at least 18 years old and authorized to enter into contracts on behalf of your business to use the Service. The Service is designed for business use. You represent that you are using it for business purposes and not primarily for personal, family, or household purposes. Tell us promptly if you believe someone has used your account without permission.
Plans, Billing & Payment
Pilot: A one-time, non-recurring purchase granting a limited number of contract analysis credits, at the price and on the terms described at checkout.
Subscription plans: A recurring subscription that automatically renews each billing cycle at the then-current price until cancelled. Your payment method will be charged automatically on each renewal date. Plan features, credit limits, and prices are described at checkout. Credits included in a billing period expire at the end of that period unless the plan description says otherwise. We will give you at least 30 days’ notice by email before a price increase takes effect, and the new price applies from your next renewal after that.
All payments are processed securely by Stripe. We do not store your full payment card details on our servers. Stripe’s terms and privacy policy apply to payment processing. You authorize us and Stripe to charge your payment method for the amounts you agree to at checkout and on each renewal.
Prices are listed in U.S. Dollars and are exclusive of any applicable taxes unless stated otherwise.
Cancellation & Refunds
You may cancel your subscription at any time via the “Manage Billing” link in your dashboard, which opens a secure Stripe-hosted billing portal. Cancellation takes effect at the end of your current billing period; you will retain access to any remaining credits for that period, and you will not be charged for the next cycle.
No pro-rated refunds or credits will be issued for partial months of service upon cancellation of a subscription plan.
The Pilot purchase is strictly non-refundable once the analysis processing has initiated on our servers. If you believe you were charged in error, contact us via the Contact page and we will review your request in good faith. If the Service fails to produce a report for a document you submitted because of a problem on our side, we will restore the credit or refund that charge.
Acceptable Use
You agree not to use the Service to:
- Upload documents you do not have the legal right to share or process;
- Upload documents you are not permitted to disclose to third parties, including our AI service providers (some contracts prohibit this; check yours);
- Attempt to reverse-engineer, scrape, or overload the Service, including its free teaser scan endpoint, beyond normal individual use;
- Access the Service by automated means, or use the Service or its output to build, train, or improve a competing product;
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
- Present the Service’s output to any third party as legal advice or as the work of a lawyer, or use it to provide legal services to others unless you are licensed to do so;
- Resell or redistribute access to the Service without our prior written consent (does not apply to B2B workspace seats purchased for your own organization’s internal use).
Data & Privacy
Our collection, use, and handling of the documents and data you provide is described in detail in our Privacy Policy, which is incorporated into these Terms by reference.
To generate your report, we send the documents you upload to third-party AI service providers under terms that prohibit them from using your documents to train their models. You authorize us to do this. You are responsible for confirming that you may share each document with us and with those providers before you upload it. Documents and reports stay in your account until you delete them or close your account, as described in the Privacy Policy.
Intellectual Property
We retain all rights, title, and interest in and to the Service itself, including its software, design, and underlying technology. You retain all rights to the documents you upload and the analysis generated for you. You grant us a non-exclusive license to host, store, process, and display your documents and the resulting analysis as needed to provide the Service to you. Reports are generated by an AI system; we do not claim ownership of them and do not warrant that they are original or free of third-party rights. If you send us feedback or suggestions, we may use them without obligation to you.
Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT AI-GENERATED OUTPUT WILL BE COMPLETE OR ACCURATE, OR THAT THE SERVICE WILL IDENTIFY EVERY RISK, ERROR, OR MATERIAL TERM IN ANY DOCUMENT.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PACTSIFT AI AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STATUTE, OR OTHERWISE) AND EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF THOSE DAMAGES. WITHOUT LIMITING THE ABOVE, WE ARE NOT LIABLE FOR ANY LOSS ARISING FROM A CONTRACT YOU SIGNED, DECLINED, TERMINATED, OR FAILED TO ENFORCE, OR FROM ANY CLAUSE OR TERM THE SERVICE MISSED, MISREAD, OR MISCHARACTERIZED. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED DOLLARS ($100).
Carve-out: Nothing in this Section 10 limits or excludes liability for gross negligence, intentional misconduct, fraud, or any other liability that cannot lawfully be limited or excluded under applicable law.
Indemnification: You will defend, indemnify, and hold us harmless from any third-party claim, and the related costs and reasonable attorneys’ fees, arising from a document you uploaded in violation of Section 6 or from your use of the Service’s output in violation of these Terms.
Severability: If any provision of this Section 10 is found by a court of competent jurisdiction to be unenforceable, that provision shall be limited or eliminated to the minimum extent necessary so that the remainder of this Section 10 and the rest of these Terms remain in full force and effect.
Termination
We may suspend or terminate your access to the Service at any time if we reasonably believe you have violated these Terms. You may stop using the Service and cancel your subscription at any time as described in Section 5. We may also discontinue the Service, or any plan, on at least 30 days’ notice by email; if we do, we will refund any prepaid fees for the unused part of your billing period. After termination you may download your existing reports for [30] days, after which we delete your documents and reports as described in the Privacy Policy. Sections 2, 6, 8, 9, 10, 12, 13, and 15 survive termination.
Governing Law & Venue
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles, unless otherwise required by applicable law. The Federal Arbitration Act governs Section 13.
Subject to Section 13 (Dispute Resolution & Class Action Waiver) below, you agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Berks County, Pennsylvania, and you consent to the personal jurisdiction and venue of those courts.
Dispute Resolution & Class Action Waiver
Informal resolution first: Before starting arbitration or a court case, the party with the dispute must send the other a written notice describing it (to us at [legal@pactsiftai.com]; to you at your account email). The parties will try in good faith to resolve it for 60 days after the notice is received. Only after that may either party start arbitration or, where permitted below, a court case.
You and PactSift AI agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration, rather than in court, except that either party may bring an individual action in small claims court or seek an injunction in court to protect its intellectual property or to stop a violation of Section 6. The arbitration will be administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules, or its Consumer Arbitration Rules if those apply to the dispute, by a single arbitrator. The arbitrator decides all questions about the scope and enforceability of this Section 13. Hearings, if any, will be held by video conference or in Berks County, Pennsylvania, unless the parties agree otherwise. The arbitrator may award the same individual relief a court could, and the award may be entered in any court with jurisdiction.
Fees: If your claim seeks $10,000 or less, we will pay all AAA filing, administrative, and arbitrator fees other than the portion of the filing fee that would apply in court, unless the arbitrator finds the claim frivolous or brought for an improper purpose. Otherwise, fees are allocated under the AAA rules. Each party pays its own attorneys’ fees unless the arbitrator awards them under applicable law.
Opt-out: You may reject this arbitration agreement by emailing [legal@pactsiftai.com] within 30 days after you first accept these Terms, with your name, your account email, and a statement that you opt out of arbitration. If you opt out, this Section 13 does not apply to you, but the rest of these Terms, including Section 12, still do.
Class Action Waiver: You and PactSift AI agree that any arbitration or proceeding shall be conducted only on an individual basis and not in a class, consolidated, or representative action. Neither you nor PactSift AI may bring a claim as a plaintiff or class member in any purported class, collective, or representative proceeding.
If this Class Action Waiver is found unenforceable as to a particular claim or dispute, then that claim or dispute (and only that claim or dispute) shall proceed in court rather than in arbitration, subject to the venue provision in Section 12.
Coordinated filings: If 25 or more similar demands are filed against us by the same or coordinated counsel, the AAA will administer them in batches of no more than 25, with a separate arbitrator for each batch, and the parties will cooperate on that process before any fees are due.
Changes to These Terms
We may update these Terms from time to time. Material changes will be announced by email to your account address at least 14 days before they take effect, and the “Last updated” date above will change. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to a change, cancel before it takes effect. Changes to Section 13 do not apply to a dispute that either party had already given notice of before the change took effect.
General
These Terms, the Privacy Policy, and the dashboard acknowledgment are the entire agreement between you and PactSift AI about the Service. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of the business. We are not liable for delays or failures caused by events outside our reasonable control. Notices to you go to your account email; notices to us go to [legal@pactsiftai.com] or PactSift AI LLC, 1096 Church Lane Road, Reading, PA 19606.
